These Terms of Use govern access to and use of consulting and professional services provided by JSCo. Tech Labs.

1. Acceptance of Terms

By accessing, browsing, or using the services provided by JSCo. Tech Labs ("we", "our", or "us"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

If you do not agree to these terms, you must refrain from using our services.

2. Scope of Services

JSCo. Tech Labs provides research, technology consulting, system and solution architecture, technical advisory, and related professional services.

The specific scope, deliverables, timelines, and commercials shall be governed exclusively by a mutually executed engagement agreement, contract, or Statement of Work (SOW). In the event of any conflict, the terms of the applicable engagement agreement shall prevail.

3. Intellectual Property & Use of Content

Unless explicitly agreed otherwise in writing, all methodologies, frameworks, architectures, research outputs, documents, designs, and materials developed or shared by JSCo. Tech Labs remain its intellectual property.

Clients are granted a limited, non-transferable, non-exclusive licence to use the deliverables solely for the purposes defined in the applicable engagement.

Any reuse, redistribution, or commercial exploitation beyond the agreed scope is prohibited without prior written consent.

4. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, confidential, or sensitive information exchanged during the course of an engagement and to use such information solely for the purposes of the engagement.

Confidentiality obligations shall survive termination or completion of the engagement, subject to applicable contractual terms.

5. Limitation of Liability

To the maximum extent permitted by law, JSCo. Tech Labs shall not be liable for any indirect, incidental, special, or consequential damages, including loss of business, revenue, data, or opportunity, arising out of or in connection with the use of our services.

Any liability, where applicable, shall be limited as expressly defined in the relevant engagement agreement or SOW.

6. Client Responsibilities

Provide accurate, complete, and timely information necessary for service delivery
Ensure prompt feedback, decisions, and approvals as required
Use deliverables strictly in accordance with agreed purposes and terms

7. Termination

Either party may suspend or terminate services in accordance with the terms specified in the applicable engagement agreement or Statement of Work.

8. Governing Law & Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of India.

Courts having jurisdiction at the registered office location of JSCo. Tech Labs shall have exclusive jurisdiction in relation to any disputes arising under these Terms.

9. Updates to Terms

JSCo. Tech Labs reserves the right to modify or update these Terms of Use at any time.

Continued access to or use of the services after such updates constitutes acceptance of the revised terms.

10. Severability & Assignment

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without prior written consent from JSCo. Tech Labs.
